Addendum to the Journey Booking Terms & Conditions and Journey Rewards Loyalty Program Terms & Conditions

Draft date: July 19, 2026. These Sealed Journey Program Terms become effective only when Journey publishes them with an effective date.

IMPORTANT NOTICE

These Sealed Journey Program Terms (the "Sealed Terms") govern a prepaid travel product in which the specific property and package assigned to you are not disclosed at purchase. Before purchasing, review the complete Manifest and Release Details, including the total price, included and excluded items, travel window, party requirements, package counts, Verified Retail Values, Trade-Back Point amounts, reveal schedule, sellout condition, and cancellation rules.

Except where these Sealed Terms expressly provide otherwise, purchases are final. If you do not timely confirm dates, Journey may select dates within the travel window you accepted. If you do not timely elect a Trade-Back after your assigned Package is revealed, you keep the trip and the Trade-Back right expires.

The Journey Booking Terms & Conditions contain a binding arbitration agreement, a class-action waiver, a jury-trial waiver, an informal dispute-resolution requirement, and a time limit for claims. Those provisions are incorporated into these Sealed Terms. Review them before purchasing.

1. Agreement and Order of Control

1.1 Agreement

These Sealed Terms are a binding agreement between you and Journey Rewards Inc., a Delaware corporation doing business as Journey ("Journey," "we," "us," or "our"). They govern your access to, purchase of, receipt of, Trade-Back of, and travel using any Sealed Journey.

By checking the box specifically accepting these Sealed Terms and clicking Purchase, Confirm, or a similar button, you acknowledge that you have had an opportunity to review and retain these Sealed Terms and the applicable Release Details, and you agree to be bound by them. If you do not agree, do not purchase a Sealed Journey.

1.2 Incorporated Agreements

The following agreements are incorporated by reference:

1.3 Order of Control

If the incorporated agreements conflict, the following order controls only for the subject matter of the conflict: (a) the Release Details, but only for the specific price, Manifest, eligibility, inventory, timing, inclusions, restrictions, and other release-specific facts expressly stated there; (b) these Sealed Terms; (c) the Booking Terms; (d) the Program Terms for Points and membership matters; and (e) the Website & App Terms of Use. A Release Detail does not waive a consumer right or change a legal provision unless it expressly identifies the provision being changed.

2. Definitions

2.1 Claimed

"Claimed" means that a Sealed Journey in a Release has been purchased by an eligible Member or acquired by Journey for a disclosed promotional, service-recovery, recognition, or creator distribution under Section 7.

2.2 Confirmation Window

"Confirmation Window" means the fourteen-day period beginning when Journey sends notice that dates are available for confirmation, unless the Release Details provide a longer period.

2.3 Manifest

"Manifest" means the release-specific list of all Packages in a pool, including their category counts, material inclusions, Verified Retail Values, Trade-Back Point amounts, and other information displayed before purchase.

2.4 Member

"Member" means an individual with a Journey Rewards account in good standing under the Program Terms.

2.5 Package

"Package" means the particular accommodations and any included amenities or experiences supplied by a Host Property and assigned to one Sealed Journey.

2.6 Points

"Points" means Journey Rewards Points governed by the Program Terms. References to "Trade-Back Points" mean the precise number of Credit Points disclosed for a Package in the Manifest and issued after a valid Trade-Back.

2.7 Release

"Release" means a limited and numbered pool of Sealed Journeys offered under one set of Release Details. An "Edition" is a Release featuring a particular brand or collection.

2.8 Release Details

"Release Details" means the complete release-specific disclosures presented before purchase and preserved with your purchase confirmation, including the Manifest.

2.9 Sealed Journey

"Sealed Journey" means a personal, nontransferable, prepaid contractual entitlement to the Package pre-assigned to a numbered unit in a Release, subject to these Sealed Terms. It is not a title document, security, investment, deposit account, gift certificate, or freely transferable travel voucher.

2.10 Trade-Back and Trade Window

"Trade-Back" means your irrevocable election to surrender the assigned Package to Journey in exchange for the disclosed Trade-Back Points. The "Trade Window" is the seventy-two-hour period beginning when Journey makes your assigned Package available for reveal, subject to Section 10.2.

2.11 Travel Window

"Travel Window" means the date range you accept at purchase within which Journey may offer or assign your exact stay dates.

2.12 Verified Retail Value

"Verified Retail Value" or "VRV" has the meaning in Section 5 and is a documented comparison value as of Manifest lock. It is not a cash value, resale value, appraisal, investment value, or promise that public rates will remain unchanged.

3. What You Are Purchasing

3.1 Prepaid Travel Entitlement

Each valid Sealed Journey entitles the purchasing Member to exactly one pre-assigned Package from the applicable Manifest, or to an express remedy stated in these Sealed Terms. You do not select the specific Package, property, room category, or included experience unless the Release Details expressly state otherwise.

3.2 What Is and Is Not Unknown

Before purchase, Journey discloses the complete Manifest and the material rules of the Release. The principal fact withheld is which Package is assigned to your numbered Sealed Journey. A Release may also delay disclosure of the destination market, property, or both according to its reveal schedule. A Release using a reveal-on-arrival or Blind Faith format must be clearly labeled before purchase.

3.3 Guaranteed Floor

At Manifest lock, each Package will have a VRV equal to or greater than the Release's published cash price, measured on a like-for-like basis under Section 5. This guarantee concerns the Package's documented retail comparison at Manifest lock. It does not guarantee a cash return, resale opportunity, later market rate, personal utility, savings relative to every rate available in the future, or the purchasing power of Points.

3.4 Commercial Travel Product; No Cash Prize

A Sealed Journey is offered as the sale of bona fide travel services with a contractually guaranteed value floor. It is not offered as a wager, lottery ticket, sweepstakes entry, or chance to receive cash or a cash equivalent. Every valid purchase receives the assigned Package or an express contractual remedy. Journey does not offer a free entry method because the transaction is a purchase of travel services, not entry into a promotion. This characterization does not limit any nonwaivable right or determine how a regulator or court may apply applicable law.

3.5 No Financial or Secondary-Market Rights

A Sealed Journey and its Package may not be resold, auctioned, brokered, pledged, transferred for value, fractionalized, or used as an investment. No secondary market is authorized or supported. Points have no cash value and are not redeemable for cash except where applicable law expressly requires otherwise.

4. Eligibility and Geographic Availability

4.1 Age and Capacity

You must be a natural person who is both at least twenty-one years old and the age of legal majority where you reside, with legal capacity to enter this agreement.

4.2 Account Requirements

You must be a Member using your own account, and your account must remain in good standing. Accounts are personal and limited to one per individual. Membership tier, invitation, early-access status, or other eligibility criteria may apply as stated in the Release Details.

4.3 Eligible Locations

Unless the Release Details expressly state otherwise, Sealed Journeys are offered only to legal residents of the United States and the District of Columbia, excluding Washington State, who are physically located in an eligible jurisdiction at purchase. Additional jurisdictions may be excluded for a particular Release. Offers are void where prohibited.

4.4 Location and Eligibility Verification

Journey may use account, billing, device, network, and location information to verify eligibility, prevent fraud, comply with sanctions and other laws, and enforce geographic restrictions, in each case as described in the Privacy Policy. Journey may require reasonable identity, age, residence, payment, or location documentation. Refusing or circumventing verification makes you ineligible.

4.5 Insiders

Journey officers, employees, contractors, Host Property personnel, and members of their households who have access to nonpublic Manifest assignments or assignment keys may not purchase customer inventory in a Release. Journey-controlled claims and promotional distributions are permitted only under Section 7 and documented internal controls.

5. Release Details, Pricing, and Verified Retail Value

5.1 Required Release Details

Before asking you to purchase, Journey will clearly and conspicuously disclose at least:

  • the Release name and number, the total number of Sealed Journeys, and the number available for public purchase;
  • the single total cash price for the applicable pool and the displayed Points or cash-plus-Points options;
  • the Release close date, sellout-to-unseal condition, and any stated public-sales period;
  • the complete Manifest, including each Package or clearly identified Package category, category counts, material inclusions, length of stay, occupancy, restrictions, VRV, and Trade-Back Points;
  • the odds stated as literal counts, such as "10 Classic, 4 Elevated, 1 Grail out of 15," rather than only as rounded percentages;
  • the eligible party class, Travel Window, destination scope, blackout dates, and reveal schedule;
  • known mandatory fees, taxes, deposits, and charges included in or excluded from the purchase price;
  • optional extras and their disclosed prices or pricing method;
  • any material accessibility, age, pet, or other occupancy restriction known at Manifest lock; and
  • any release-specific cancellation, substitution, roll-forward, or promotional-unit terms.

5.2 Total Price

The most prominently displayed price will be the total amount you must pay to Journey for the Sealed Journey, including all mandatory Journey charges and all mandatory short-term lodging fees known and reasonably calculable at the time the price is displayed. Government-imposed taxes and genuinely optional add-ons may be shown separately where permitted by law, but will be disclosed before you authorize payment. No preselected optional fee will be added without your express consent.

5.3 VRV Methodology

Journey determines VRV at Manifest lock using a live, publicly bookable rate for the same or a reasonably comparable property, date or disclosed travel period, room category, occupancy, stay length, cancellation restriction, and included services. Mandatory fees are treated consistently on both sides of the comparison. Included amenities and experiences are valued using a publicly offered price or other documented retail price confirmed by the provider. Journey will not use an unpublished rack rate that a consumer could not reasonably book as the sole basis for VRV. For non-U.S. prices, Journey may use a documented exchange rate as of Manifest lock.

5.4 Value Snapshot and Rate Changes

VRV is a snapshot as of the date and time stated in the Release Details. Public rates, availability, taxes, exchange rates, and promotion prices may later increase or decrease. A later rate change does not change the assigned Package, the locked VRV, the published odds, or your Trade-Back Points, and is not by itself grounds for cancellation or refund.

5.5 Manifest Corrections

Journey may correct a typographical, mathematical, or display error that does not materially change a Package, the value floor, odds, price, Trade-Back Points, or your rights. If Journey discovers a material error, a Package no longer satisfies the value floor, or a supplier representation used for VRV was materially inaccurate, Journey will not reduce your guaranteed rights. Journey will either: (a) replace the affected Package with one of equal or greater VRV and materially comparable characteristics, while preserving the integrity record; or (b) offer the affected Member a full refund in the original forms of payment. Journey will document any material correction and make the correction available with the post-Release audit.

5.6 No Reliance on Profit or Personal Valuation

You acknowledge that travel is experiential and subjective. You are not purchasing an opportunity for profit, and you will not rely on any expectation that a Package can be sold, transferred, converted to cash, or valued by you or another person at the stated VRV.

6. Purchase, Payment, and Party Declaration

6.1 Purchase Confirmation

An order is not accepted until Journey issues a purchase confirmation identifying the Release, numbered Sealed Journey, purchase price, forms of payment, accepted party class and Travel Window, version of these Sealed Terms, and a durable copy or link to the locked Release Details. An authorization hold or pending charge is not acceptance.

6.2 Payment Methods

Journey may accept a payment card, eligible Points, or a combination. Point prices are the exact amounts shown at checkout. Journey does not sell Points as a separate step in the Sealed Journey purchase flow. Payments, failed charges, fraud screening, refunds, and chargebacks are also governed by the Booking Terms and Program Terms.

6.3 Pricing or Inventory Error Before Acceptance

If a material pricing, payment, inventory, or system error occurs before Journey accepts your order, Journey may reject the order and release any authorization. If Journey accepts an order affected by a material error that cannot be corrected without reducing your rights, Journey may cancel only by providing the refund remedy in Section 11.6 or any greater remedy required by law.

6.4 Binding Party Declaration

The Release's party class and your traveler declaration are material to the Package. You may travel with fewer people than declared. You may not add travelers, children, or pets beyond the Package's disclosed occupancy and eligibility, except through an optional extra expressly offered by Journey or the Host Property. The Host Property may refuse excess or ineligible occupants without refund.

6.5 Purchaser Must Travel; No Transfer

Unless the Release Details expressly permit gifting, the purchasing Member must be a registered guest and must personally travel. Changes to guest names require Journey's advance written approval and may be refused. A purported sale or transfer is void.

6.6 No Automatic Points Earning or Elite Benefits

A Sealed Journey purchase, Package, incidental charge, or completed stay earns Points or receives Member benefits only if the Release Details or applicable Program Terms expressly say so. Silence means no additional earning or benefit.

6.7 Final Sale

After acceptance, all sales are final except for an express refund or conversion right in these Sealed Terms, the Release Details, or nonwaivable law. A change in your preferences, personal circumstances, transportation cost, perceived value, or a public rate is not grounds for a cash refund.

7. Assignment, Odds, Sellout, and Journey Claims

7.1 Pre-Assignment

Before a Release opens, Journey will lock the Manifest and pre-assign one Package to each numbered Sealed Journey. A Package may not be assigned to more than one active unit. The consumer-facing allocation process may not use membership status, purchase behavior, personal data, or willingness to spend to alter the Package already associated with a numbered unit.

7.2 Published Odds

The odds are the actual category counts in the locked pool divided by the total number of Sealed Journeys in that pool. They are not personalized or dynamically weighted. Constraints may route you to a different disclosed pool, but they do not alter assignments within a locked pool. Journey will not represent that flexibility improves odds unless the alternative pool shown to you actually has the disclosed, more favorable composition.

7.3 Integrity Commitment and Audit

At or before the Release opens, Journey will publish a cryptographic commitment to the locked Manifest and assignment set. After the Release closes, Journey will make an audit record available that permits verification that assignments were not changed after lock, subject to reasonable security, privacy, supplier-confidentiality, and anti-fraud protections. The cryptographic commitment is an integrity aid, not a cryptocurrency, token, title record, or transfer mechanism.

7.4 Integrity Error

If Journey confirms a material inconsistency between the locked records and an assignment, Journey will not substitute a lower-value Package or reduce a disclosed Trade-Back amount. Journey will provide the affected Member a Package of equal or greater VRV consistent with the Release's material travel constraints or a full refund in the original forms of payment, at the Member's election, plus any additional remedy required by law.

7.5 Sellout-to-Unseal Rule

A Release unseals only after every Sealed Journey in the pool is Claimed. "All claimed" may include disclosed Journey Claims under Section 7.6. Buying a Sealed Journey does not guarantee that a Release will close by an estimated date.

7.6 Journey Claims and Promotional Distribution

After the public-sales period stated in the Release Details, Journey may acquire remaining units for documented promotional, service-recovery, recognition, or creator distribution (each a "Journey Claim"). A Journey Claim counts toward sellout and remains part of the same locked Manifest. Journey and a recipient may not select a Journey-Claimed unit based on nonpublic knowledge of its Package. Journey will disclose after close the number of Journey-Claimed units and the general distribution category. A person who receives a gifted or discounted unit and makes an endorsement must clearly disclose the material connection to Journey; Journey may require specific disclosure language and monitor compliance.

7.7 No Insider Preference

No person with access to the assignment set may choose, steer, reserve, or reveal a particular unit for a purchaser, Journey Claim, creator, employee, affiliate, or Host Property. Any exception needed to correct fraud or a technical error must be documented and handled under Sections 5.5 or 7.4.

7.8 Release Does Not Close

If all units are not Claimed by the Release close date, Journey may not simply retain your payment. Journey will offer you: (a) a full refund in the original forms of payment; or (b) a voluntary roll-forward to a specifically identified compatible Release, together with any additional Points or benefit stated in the offer. If you do not affirmatively choose a roll-forward by the stated deadline, Journey will issue the full refund. Journey may propose an extension, but you may decline and receive the full refund.

7.9 Price Integrity

Journey will not reduce the cash price of a Release after it opens. Journey may offer a different Point price only if that possibility and the applicable eligibility are disclosed before your purchase and the change does not alter the cash price or the locked Manifest.

8. Date Confirmation and Reveals

8.1 Sequence

The Release Details will state the operational sequence, including Manifest lock, Release close, date confirmation, market reveal, property reveal, Trade Window, and arrival. Unless stated otherwise, dates are confirmed before the property is revealed.

8.2 Confirmation Window

Journey will offer one or more exact stay dates within the Travel Window you accepted. You must confirm one of those dates during the Confirmation Window. Journey may send reminders but is not required to obtain a response beyond the notices described in the Release Details.

8.3 Automatic Date Assignment

If you do not respond before the Confirmation Window expires, you authorize Journey to select and confirm exact dates within your accepted Travel Window. Journey will notify you of the selected dates. Automatic assignment is not a cancellation and does not extend the later Trade Window.

8.4 Member-Side Date Conflict

If Journey offers dates that conform to the Travel Window and Package restrictions but you affirmatively state that none will work, you may surrender the Sealed Journey for the Package's disclosed Trade-Back Points. That election is final and is not a cash refund. If the Package has not yet been revealed, Journey may disclose only the information reasonably necessary to complete and document the conversion.

8.5 Journey- or Supplier-Side Date Failure

If Journey cannot offer any conforming date within the full Travel Window because of Journey or Host Property availability, you will not be limited to Points. Journey will offer a materially comparable or better substitute within the accepted travel constraints, or a full refund in the original forms of payment. A materially different destination or Travel Window requires your consent.

8.6 Market and Property Reveals

Unless the Release Details provide an earlier reveal or clearly identify a Blind Faith format, Journey expects to reveal the destination market approximately thirty to forty-five days before confirmed arrival and the Host Property approximately seven days before arrival. The specific deadlines in the Release Details control. A short technical delay is not a breach if Journey acts promptly and the delay does not materially impair travel; if it does, Journey will provide an appropriate remedy under Section 11.

8.7 Transportation Before Reveal

Airfare, rail, car rental, and other transportation are not included unless the Manifest expressly says so. You are responsible for deciding when to purchase transportation and for its flexibility. Journey is not responsible for transportation costs, change fees, missed connections, or other consequential expenses caused by your purchasing nonrefundable transportation before all relevant details are revealed, except to the extent applicable law does not permit that limitation.

9. The Trip and Guest Responsibilities

9.1 Included Items

Your Package includes only the accommodations, dates, occupancy, amenities, experiences, taxes, and fees expressly stated in the locked Manifest and final booking confirmation. Descriptive photographs are illustrative unless expressly identified as the assigned room or amenity.

9.2 Host Property Terms

The Host Property is an independent provider of the accommodations and on-property services. Its lawful house rules, check-in requirements, safety rules, pet rules, age restrictions, damage policies, and conduct standards apply. If a Host Property term materially conflicts with the locked Package, these Sealed Terms and the Package confirmation control as between you and Journey.

9.3 Incidentals, Deposits, and Damage

You must provide any identification and payment card reasonably required at check-in. You and your travel party are responsible for incidentals, optional services, damage, fines, smoking or pet charges, excess occupancy, and other amounts not expressly included. Fixed extras disclosed in the Manifest remain subject to availability unless expressly guaranteed.

9.4 Traveler Information and Conduct

You must provide accurate traveler names, ages, accessibility needs, and other requested information by the stated deadlines. You are responsible for your travel party's compliance with applicable terms and laws. Journey or a Host Property may refuse or end service for unlawful, dangerous, abusive, fraudulent, or materially disruptive conduct, subject to applicable law. No refund or Points are due for a refusal caused by your or your party's breach.

9.5 Travel Documents and Health Requirements

You are solely responsible for passports, visas, entry permissions, health documents, vaccinations, insurance, and compliance with government and carrier requirements. Journey does not provide legal, immigration, medical, or travel-advisory advice.

9.6 Accessibility and Special Requests

Journey will transmit timely accessibility and special requests to the Host Property and will provide legally required assistance. A request is not guaranteed unless Journey confirms it in writing as part of the Package. Contact Journey before purchase if an unconfirmed feature is essential to travel.

9.7 Travel Insurance

Travel involves risks outside Journey's control. Journey strongly recommends appropriate travel insurance that covers cancellation, interruption, medical events, transportation, and nonrefundable expenses. Any protection product is provided under separate terms by its issuer, not by Journey, unless expressly stated.

10. Trade-Back and Re-Pull

10.1 Trade-Back Right

When Journey makes your assigned Package available for reveal, you may either keep the Package or elect the Trade-Back during the Trade Window. The exact Trade-Back Points for every Package are disclosed in the Manifest before purchase and will not be reduced after purchase.

10.2 Trade Window; Service Outage

The Trade Window lasts seventy-two hours. Journey's timestamp controls, subject to reasonable evidence of error. If a material Journey-controlled outage prevents access to the election interface for a substantial part of the Trade Window, Journey will extend the deadline so that you have a reasonable opportunity to make the election after service is restored.

10.3 Default Is to Keep the Trip

If Journey does not receive a valid Trade-Back election before the deadline, you retain the Package and the Trade-Back right expires. Silence is not a Trade-Back. Journey may send reminders, but failure to receive or open a reminder does not extend the deadline if the original notice was sent to the verified contact information on your account.

10.4 Final and Irrevocable Election

A Trade-Back is final once confirmed. It cancels your rights to the Package, permits Journey to return the Package to its inventory, and cannot be reversed. Journey will provide a durable confirmation showing the Package, point amount, timestamp, and resulting balance.

10.5 Nature and Use of Trade-Back Points

Trade-Back Points are issued as Credit Points. They may be redeemed only for the categories Journey makes available to Credit Points, which may include stays, experiences, and Sealed Journeys. They are governed by the Program Terms, including account-status, fraud, transfer, redemption, and expiration rules. Under the Program Terms in effect on this draft date, Credit Points are not covered by the Cleared Point floor-value guarantee and Points may expire after twenty-four months without qualifying account activity.

10.6 No Cash Equivalence

The Trade-Back Point amount is a program benefit, not a cash refund, cash prize, bank balance, gift card, or promise of a fixed exchange rate. The methodology Journey uses to determine an issuance amount does not guarantee that the Points will purchase goods or services equal to the Sealed Journey's cash price at every redemption. Redemption value and availability may vary under the Program Terms, subject to any nonwaivable law and any more favorable release-specific promise.

10.7 Reversal for Payment Reversal or Fraud

If the original purchase is refunded, charged back, reversed, or found fraudulent after Trade-Back Points are issued, Journey may reverse those Points and any related redemption to the extent permitted by the Program Terms and law. You remain responsible for any resulting negative balance or loss caused by your fraud or unauthorized conduct.

10.8 Re-Pull Is a Separate Purchase

After a Trade-Back, Journey may allow you to purchase one additional eligible Sealed Journey from the same Release (a "Re-Pull") if a returned or Journey-held unit is made available. A Re-Pull is not guaranteed, is not an exchange, and is a new purchase at the exact cash, Points, or mixed price shown. It is subject to the same party class, the Release's published assignment rules, and all then-applicable purchase disclosures.

10.9 Re-Pull Limit and Availability

You may complete no more than one Re-Pull per Release. If no eligible unit is available, your Trade-Back Points remain in your account under the Program Terms. Early access to another Release applies only if Journey expressly grants it. Trading back a Re-Pull does not create a right to a second Re-Pull.

11. Changes, Cancellations, Substitutions, and Refunds

11.1 Member Changes After Confirmation

After exact dates are confirmed, any request to change dates, travelers, occupancy, or other details is subject to availability, supplier approval, and any disclosed fee. Journey is not required to grant a change. A denial is not grounds for refund or Trade-Back.

11.2 Member Cancellation and No-Show

After the applicable conversion and Trade Windows close, member cancellation, late arrival, early departure, or no-show forfeits the Package and does not entitle you to cash, Points, replacement travel, or another Sealed Journey, except where the booking confirmation or applicable law expressly provides otherwise.

11.3 Host Property Failure Before Travel

If a Host Property cannot honor a confirmed Package for reasons not caused by you, Journey will use reasonable efforts to provide a substitute that is equal or better in VRV and materially comparable in stay length, occupancy, destination market, and Travel Window. A substitution outside the accepted destination scope or Travel Window requires your consent. If Journey cannot provide a qualifying substitute, you may choose a full refund in the original forms of payment or, if offered, a voluntary Points remedy.

11.4 Material Change

Journey may make a nonmaterial operational change that does not reduce the Package's VRV or a guaranteed material feature. If a proposed change materially reduces the Package, Journey will offer a qualifying substitute or the refund remedy in Section 11.6. An amenity or special request stated as subject to availability is not guaranteed.

11.5 Force Majeure

Force Majeure Events are governed by the Booking Terms. Journey is not liable for delay or failure caused by events beyond its reasonable control, but will refund amounts Journey holds for travel services not performed when required by the Booking Terms or applicable law. Journey is not responsible for consequential expenses such as transportation, alternative lodging, lost time, or visa costs, to the maximum extent permitted by law.

11.6 Refund Method

A full refund means: (a) cash paid is returned to the original payment instrument; (b) Points redeemed are restored to the originating account in the same status they had when redeemed, or a more favorable status if required to make the Member whole; and (c) any promotional benefit contingent on the cancelled purchase may be reversed. If the original payment instrument is unavailable, Journey will use a lawful alternative. Financial-institution processing time is outside Journey's control.

11.7 Product Discontinuation or Account Closure

Journey's discontinuation of Sealed Journeys or closure of your account does not eliminate an accepted, paid Sealed Journey without an express remedy. Journey will honor the Package, provide an agreed substitute, or issue the applicable full refund, except where cancellation or forfeiture results from proven fraud or other conduct for which law permits a different remedy.

12. Prohibited Conduct and Enforcement

12.1 Prohibited Conduct

You may not, directly or through another person:

  • use multiple accounts, false information, bots, scripts, automation, collusion, or payment manipulation to obtain inventory or evade a limit;
  • attempt to discover, decrypt, manipulate, change, or exploit a Manifest, assignment, cryptographic commitment, reveal schedule, or nonpublic Package information;
  • select or seek a particular unit using inside information;
  • resell, broker, transfer, advertise, or solicit a Sealed Journey, Package, Re-Pull right, or Trade-Back right;
  • use an unauthorized chargeback instead of contacting Journey about a good-faith dispute;
  • misrepresent eligibility, residence, age, party composition, pet status, or traveler identity;
  • interfere with another Member's purchase, reveal, travel, or account; or
  • violate these Sealed Terms, an incorporated agreement, a Host Property's lawful rules, or applicable law.

12.2 Investigation and Protective Measures

Journey may investigate suspected misconduct and temporarily hold a purchase, reveal, Trade-Back, Points issuance, or Re-Pull while it performs a reasonable review. Journey may require supporting documentation and may preserve or disclose information as allowed by the Privacy Policy and law.

12.3 Remedies

For confirmed misconduct, Journey may reject or cancel an order, suspend or close an account, reverse improperly obtained Points or benefits, void a prohibited transfer, reassign an affected unit under documented controls, deny a Re-Pull, recover losses, and pursue legal remedies. Journey will not retain consumer funds or forfeit a valid paid entitlement except to the extent allowed by these Sealed Terms and applicable law.

13. Communications, Privacy, and Publicity

13.1 Service Communications

You consent to transactional email, in-app, push, telephone, or text communications reasonably necessary to operate the Release, including sellout, confirmation, reminder, reveal, itinerary, Trade Window, cancellation, refund, security, and legal notices. These are Service Communications under the Program Terms and SMS Terms, not marketing messages.

13.2 Contact Information

You must keep your verified email address, mobile number, and other account information current. A notice sent to your verified contact method is effective when sent, unless Journey receives a delivery failure or applicable law requires a different rule.

13.3 Privacy and Geolocation

Journey's collection and use of personal information, including eligibility and geolocation information, is governed by the Privacy Policy. Denying optional device permission may limit access to a Release when Journey cannot verify a legal or fraud-prevention requirement through another reasonable method.

13.4 Outcomes and Identity

Journey may publish aggregate or de-identified Release results, including category counts and broad outcome statistics. Journey will not use your name, likeness, precise location, exact travel dates, or identifiable reveal content in advertising without separate permission. Because a small Release may make combinations of facts identifiable, Journey will use reasonable care not to publish a combination that directly identifies you without consent.

13.5 Member Content

If you voluntarily submit or post reveal or trip content to Journey, the User Content terms in the Website & App Terms of Use apply. Posting publicly does not by itself give Journey permission to use your name or likeness in paid advertising beyond those terms and applicable law.

13.6 Sponsored and Gifted Recipients

If Journey gives or discounts a Sealed Journey, Package, or other benefit in connection with content, an endorsement, or a creator relationship, Journey will require clear and conspicuous disclosure of the material connection. The recipient also agrees to make truthful disclosures in each applicable post or appearance and to follow Journey's reasonable compliance instructions.

14. Taxes

14.1 Transaction Taxes and Fees

Journey will collect taxes and government charges it is legally required to collect. Other disclosed taxes, resort charges, tourism assessments, or similar amounts are allocated as stated in the Release Details and final confirmation.

14.2 Personal Tax Responsibility

You are responsible for determining and satisfying any personal tax or reporting obligation arising from a Sealed Journey, Trade-Back, Points, or other benefit. Journey does not provide tax advice.

14.3 Information and Withholding

If Journey reasonably determines that law requires information reporting, withholding, identity verification, or tax documentation, you agree to provide accurate requested information. Journey may withhold delivery, deduct a required amount, or take another legally required action, but will not characterize a transaction as a prize or award unless its legal and tax treatment requires that characterization.

15. Journey's Role; Disclaimers; Liability; Indemnity

15.1 Journey and Host Properties

Journey is the merchant of record for the Sealed Journey purchase and administers the Release. Host Properties and other travel providers are independent businesses that furnish accommodations, amenities, and experiences. Journey does not own or operate them and is not responsible for their acts or omissions except for Journey's express obligations in these Sealed Terms, the Booking Terms, or applicable law.

15.2 Disclaimers

Except for the express value floor, assignment, refund, substitution, and other promises in these Sealed Terms and the Release Details, the disclaimers in the Booking Terms and Website & App Terms of Use apply. No disclaimer excludes a warranty or consumer right that cannot lawfully be excluded.

15.3 Excluded Damages

To the maximum extent permitted by law, Journey and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost wages, lost vacation time, loss of enjoyment, replacement transportation, alternative lodging, lost data, or loss of business, arising from a Sealed Journey, even if advised that such damage was possible. This exclusion does not apply to liability that cannot lawfully be excluded.

15.4 Liability Cap

To the maximum extent permitted by law, Journey's total aggregate liability arising from a particular Sealed Journey will not exceed the greater of US$100 or the published cash price of that Sealed Journey, regardless of whether you paid with cash, Points, or both. This cap does not limit Journey's obligation to provide an express refund or remedy under these Sealed Terms and does not apply to fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or another liability that cannot lawfully be limited.

15.5 Third-Party Claims and Indemnity

To the maximum extent permitted by law, you will indemnify and hold harmless Journey and its affiliates, officers, directors, employees, and agents from third-party claims, losses, and reasonable costs arising from: (a) your or your travel party's unlawful or willful misconduct; (b) property damage or personal injury caused by your or your party's negligence; (c) your material misrepresentation of eligibility or traveler information; or (d) your unauthorized resale or transfer. Journey may control the defense and settlement, but will not settle a claim in a manner that admits your wrongdoing or imposes a nonmonetary obligation on you without your consent.

16. Disputes and General Terms

16.1 Informal Resolution, Arbitration, and Class Waiver

The informal dispute-resolution requirement, binding individual arbitration agreement, class-action and representative-action waiver, jury-trial waiver, small-claims exception, mass-filing procedures, thirty-day arbitration opt-out, and related provisions in Section 18 of the Booking Terms apply to every dispute arising out of or relating to a Sealed Journey or these Sealed Terms. If you previously validly opted out of that arbitration agreement, your opt-out remains effective according to its terms.

16.2 Governing Law and Mandatory Consumer Rights

The governing-law and forum provisions in the Booking Terms apply. Nothing in these Sealed Terms waives mandatory consumer-protection, travel-seller, privacy, accessibility, or other rights that apply in your jurisdiction and cannot be waived by contract.

16.3 Claims Against Host Properties

These Sealed Terms do not prevent you from asserting a claim directly against a Host Property for its own conduct. A Host Property is not a third-party beneficiary of Journey's liability limitations unless the Booking Terms or applicable law expressly provide otherwise.

16.4 Changes to These Sealed Terms

Journey may update these Sealed Terms prospectively. The version accepted at purchase governs the Release's price, value floor, Manifest, odds, Trade-Back Points, refund rights, and other material economic terms. Journey may make a change required by law, needed to address fraud or security, or beneficial to Members, but will not retroactively reduce an accepted Member's material rights without consent unless law requires it.

16.5 Entire Agreement; No Oral Modification

These Sealed Terms, the Release Details, and the incorporated agreements are the entire agreement concerning a Sealed Journey. Marketing, social posts, creator content, concierge statements, or other communications do not modify the agreement unless included in the Release Details or confirmed in a writing issued by an authorized Journey representative.

16.6 Severability and Reformation

If a provision is unenforceable, it will be enforced to the maximum extent permitted or severed if reformation is not possible, and the remaining provisions remain effective. Any special severability rule in the arbitration agreement controls for arbitration provisions.

16.7 Assignment; No Waiver; No Third-Party Beneficiaries

You may not assign these Sealed Terms or a Sealed Journey without Journey's written consent. Journey may assign its rights and obligations to an affiliate or in connection with a merger, financing, reorganization, or transfer of the relevant business, provided the assignee assumes Journey's outstanding customer obligations. A failure to enforce a provision is not a waiver. Except as expressly stated, these Sealed Terms create no third-party beneficiary.

16.8 Survival

Provisions concerning payment, fraud, Points, prohibited conduct, taxes, publicity, disclaimers, liability, indemnity, disputes, records, and any provision that by its nature should survive will survive completion, cancellation, Trade-Back, account closure, and termination.

16.9 English Language

The English version controls to the extent permitted by law. A translation is provided for convenience unless applicable law requires otherwise.

Applicable seller-of-travel registration numbers and state-required disclosures must be displayed in the Release Details, checkout, purchase confirmation, advertising, and other locations required by law before Journey offers a Release in that jurisdiction. Registration does not constitute government approval.

BY CHECKING THE ACCEPTANCE BOX AND COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE REVIEWED AND ACCEPTED THESE SEALED TERMS, THE RELEASE DETAILS AND MANIFEST, AND THE INCORPORATED AGREEMENTS; THAT YOU UNDERSTAND THE SPECIFIC PROPERTY IS NOT DISCLOSED AT PURCHASE; THAT THE RELEASE MUST BE FULLY CLAIMED BEFORE UNSEALING; THAT JOURNEY MAY MAKE DISCLOSED JOURNEY CLAIMS; THAT YOUR TRAVEL DATES MAY BE AUTOMATICALLY ASSIGNED WITHIN YOUR ACCEPTED TRAVEL WINDOW IF YOU DO NOT RESPOND; THAT SALES ARE FINAL EXCEPT AS EXPRESSLY STATED; THAT TRADE-BACK POINTS ARE NOT CASH AND DO NOT HAVE A FIXED REDEMPTION VALUE; AND THAT THE BOOKING TERMS INCLUDE BINDING INDIVIDUAL ARBITRATION AND A CLASS-ACTION WAIVER, SUBJECT TO THE STATED OPT-OUT AND LEGAL EXCEPTIONS.
